1. Software License Agreement: 

1.1.        Terms and Definitions 
This is a legally binding Software contract between 1.) the customer, and 2.) SLSoftware and Consulting Services, LLC, and its agents, collectively referred to as SLSoftware. The term "Software" refers to all commercial and demonstration ("demo") computer software, distribution media,  manuals, and electronic or online documentation associated with and / or purchased from SLSoftware. By purchasing and / or installing Software from SLSoftware, the customer agrees to be bound by all of the terms and conditions of this contract. If the customer does not agree to the terms of this contract, the customer may not use the Software and must contact SLSoftware for information on returning the Software. Software obtained from any source or party other than those authorized by SLSoftware cannot be returned to SLSoftware for a refund. 

1.2.        Completeness and Exclusivity 
This written agreement constitutes the complete and exclusive agreement between SLSoftware and the customer. Any other written or verbal agreements between SLSoftware and the customer regarding this Software are hereby null and void. 

1.3.        Licensing of Software Developed 
Software is licensed, not sold. Through this license agreement, the customer is granted a limited non-exclusive license to use the Software developed by SLSoftware on only one machine at a time. This Software is protected by domestic and international copyright and intellectual property laws and treaties. The Software may not be reproduced or distributed in any way, with the exceptions of making a backup copy of the distribution disks and as a part of normal backups of the single machine the software is installed on. The Software contains trade secrets and may not be reverse engineered, decompiled, or disassembled in any way to determine how it operates. The Software may not be modified, translated, adapted, rented, sublicensed, assigned, loaned, resold for profit, or used to create derivative works. The customer understands that violation of copyright laws through illegal distribution of this Software or the enabling thereof is a criminal offense and may subject the customer to prosecution. The Software may be sold or transferred to a third party if and only if all of the following 4 conditions are met: 1.) The original Customer removes all copies of the Software from the desktop machine used to install the Software and the HPC the Software was installed on, 2.) The original Customer transfers all copies of the installation media to the third party and the original Customer destroys all backup copies of the Software, 3.) The original Customer ceases to use the Software, and 4.) The third party agrees with and agrees to abide by all  terms of this Software License Agreement.  Customer agrees that the original purchase of a License of CEBible and all subsequent upgrades or updates to it constitute one (1) Software License, and the original purchase and all upgrades or updates must be retained by the Customer under the terms of this agreement or transferred as a unit.

1.4.        Licensing of Copyrighted Bible Translations 
Unless otherwise designated, Bible Translations or Databases distributed with CEBible are copyrighted works, and may not be copied or duplicated in any way, with the exception of normal backups of the distribution disks and the single computer CEBible is used on, in keeping with the terms of this Software License. The customer may not modify or otherwise alter the Bible Translation or Database in any way.

1.5.        Limitations on Software Developed 
Customer agrees that custom software developed by SLSoftware is not and will not ever be used in a situation where failure of the software or the computer system it is used on could cause injury, loss of life, damage to property, or catastrophic financial losses. 

1.6.        Warranties and Limitation of Liability 
Due to the complex nature of software, and the interaction between software developed by SLSoftware and other hardware and software products, all software developed by SLSoftware is provided on an "As is" basis. There are no warranties, expressed or implied, including, but not limited to, any implied warranties or merchantability or fitness for a particular purpose, and in no event shall SLSoftware or its agents be liable for direct, indirect, incidental, consequential, or other similar damages under any circumstances. SLSoftware is not responsible for performance of any third party or product with regard to the Software. 

1.7.        Liability For Loss Of Data 
SLSoftware will not be liable under any circumstances for loss of customer data, even if software developed by SLSoftware is a direct contributor to that loss. SLSoftware encourages the customer to perform routine maintenance and backup on all machines that contain important data. 

1.8.        Governing Law 
The provisions of this contract will be governed by the laws of the state of Indiana and of the United States of America. 

1.9.        Enforceability 
If any term or provision in this contract is found to be in conflict with the laws of the municipality or state, or with federal law, the remaining terms and provisions shall remain in full force. SLSoftware reserves the right to enforce this contract to the full extent of the law, but if SLSoftware elects not to enforce a specific term or condition, this does not constitute a waiver of the enforceability of that term or condition, and this shall not in any way void this contract, in part or as a whole. 

1.10.        Modifications To This Contract 
All modifications to this contract agreed to by the Customer and SLSoftware must be documented in writing and must be present on a customer copy and a corresponding SLSoftware copy of this contract, with additions or deletions clearly marked and initialed on both copies by authorized representatives of the customer and SLSoftware. SLSoftware reserves the right to update this contract and modify the terms therein in the course of normal business. 

2. Delivery Policies: 

2.1. CD / Box Orders: 

2.1.1. CD and Box orders (new licenses) are typically shipped via US Priority Mail (domestic) or Global Priority Mail (international). If Global Priority Mail is unavailable for your international location, your order will be shipped using the next best US Mail shipping option, typically First Class Air. Orders are typically shipped within 1-2 weeks of receipt by SLSoftware. Consult your local postal branch for estimates on delivery time for orders shipped in this fashion. 

2.1.2. Update or replacement CDs are typically shipped via standard mail. Orders are typically shipped within 1-2 weeks of receipt by SLSoftware. Consult your local postal branch for estimates on delivery time for orders shipped in this fashion. 

2.2. Downloadable Orders: 

2.2.1. Downloadable orders are shipped via email with information on how to download the install program as well as unlock keys for installation. The install program itself cannot be sent as an email attachment. Orders are typically shipped within 1-2 business days of receipt by SLSoftware. 

2.2.2. Although every effort is made to explain to the customer how to download and install the software, SLSoftware is not responsible if the customer is unable or unwilling to follow the instructions provided in the order information email. SLSoftware will investigate and attempt to rectify unusual situations in this process, such as a broken link or a file that appears to be unavailable, but it is the customer's responsibility to contact their ISP or other source for assistance should SLSoftware determine that it is not our fault. 2.2.3. SLSoftware is not responsible for the correctness or validity of email addresses provided in customer orders. If the email address provided by the customer is invalid or is rejected by the customer's email server, the order will not be cancelled. It is up to the customer to determine that they have not received their order in a reasonable amount of time and to contact SLSoftware with a correct alternative email address. 

2.3. Shipping Policies for All Orders: 

2.3.1. To facilitate quicker delivery, SLSoftware may waive the signature on Return Receipt for Merchandise and allow the postal carrier to sign as proof of delivery, or simply ship without Return Receipt for Merchandise. If the customer would rather require the customers own signature at delivery, the customer should contact SLSoftware at or prior to ordering to arrange this. 

2.3.2. SLSoftware is not responsible for delays in receipt of orders, delays in receipt of order confirmations from online services, or delays in shipment caused by but not limited to: natural disasters, acts of God, strikes or labor interruptions, failure of online registration systems, or declarations of war. 

2.3.3. In the case that an order is not received by the customer in a reasonable amount of time, the customer agrees to allow SLSoftware and its agents adequate time to remedy the situation, through investigation of where the order or shipment was delayed or lost, or by shipment of a replacement package. 

2.3.4. In the event that your CEBible product is damaged in shipping, we will gladly replace it at our expense. Please contact or fax us at (317) 596-9897 for instructions. 

2.3.5. Customers who have lost their email order information provided by email or their printed key cards with license information can have this information replaced for a $5.00 US research fee. This fee helps offset our cost of researching license information in our records and recreating the keys necessary to install the software. This replacement information can be requested through the online order form as an update with no license number indicated and will be provided to the customer via email.

3. Technical Support: 

3.1. Customers that purchase software for direct shipment from SLSoftware are automatically registered and eligible for technical support. 

3.2. Customers that purchase Software through retail locations must register their Software to be eligible for technical support. Customer must provide a name, a mailing address, the name and version of their product, and the serial number of their product to register. (All personal information will be handled in accordance with our privacy policies below.) Registration may be done by way of the registration card enclosed or through email. 

3.3. Technical support is currently provided through documents at the CEBible web page (http://www.slsoftware.com/), through email to Lloyd Shelby (), or through US Mail to: SLSoftware, 7462 E. Fishers Sta. Dr. #200, Fishers, IN 46038. 

4. Return Policies: 

4.1. Software Shipped from SLSoftware: 

4.1.1. If the Software was purchased directly from SLSoftware or through an online ordering service for shipment from SLSoftware, the customer may return the Software within 30 days of the date the software was received by the customer for a refund, if and only if the following 3 conditions are met:  1.) The Customer removes all copies of the Software from the desktop machine used to install the Software and the HPC the Software was installed on, 2.) The Customer returns all copies of the installation media to SLSoftware and destroys all backup copies of the Software, 3.) The Customer ceases to use the Software. If there is a question as to when the software was received, the customer must be able to substantiate when the software was received. 

4.1.2. Only the purchase price of the software is refundable - Shipping and Handling charges are not refundable. 

4.1.3. Returns of the CEBible boxed version must be in resaleable condition and will include a restocking fee of 15% of the purchase price of the boxed version.

4.1.3. All refunds for software shipped to domestic locations will be sent from SLSoftware in the form of a check payable in US funds. 

4.1.4. All refunds for Software purchased through direct mail orders to SLSoftware and shipped to international destinations will be sent from SLSoftware in the form of a check or money order payable in US funds. SLSoftware cannot be responsible for fees incurred in converting the refund from US funds to the local currency of the customer returning the software. 

4.1.5. All refunds for Software purchased through online ordering services and shipped to international destinations will be arranged by SLSoftware through the online ordering organization. 

4.1.6. To return Software, contact SLSoftware through email or regular mail for a Return Merchandise Authorization (RMA) number. If contacting SLSoftware by mail, the postmark date of your letter must be within the 30-day period indicated above. Please write the RMA number received on the packaging and return the Software distribution media and all documentation to SLSoftware, 7462 E. Fishers Sta. Dr. #200, Fishers, IN 46038. Please insure the package through the shipper for at least the amount of refund due to you. SLSoftware is not responsible for shipping charges on returned Software or for returns that are lost or delayed in shipping. Refunds will be processed on receipt of returned Software. 

4.2. Software Purchased from Retail Locations: 

4.2.1. Returns of Software purchased from retail locations must be handled through and in accordance with the return policies of that retail location. 

4.3. Software Downloaded from SLSoftware 

4.3.1. Software downloaded from SLSoftware is not eligible for return or refund. For our 30-day return policy, please order software on floppies or CD for shipment.  

4.4. Translation Keys 

4.4.1. Translation "Keys" are sequences of letters and numbers used to unlock CEBible translations. As "unlocking" a CEBible translation incurs royalty payments to the copyright holders, there can be no refunds on key purchases.

5. Privacy Policies: 

5.1. SLSoftware respects the privacy of its customers. Customer information obtained through orders received will not be sold or distributed to any third party, with the exceptions of necessary disclosures to process orders (such as placing the customer's address on a package for shipment.). SLSoftware reserves the right to make directed mailings (either email or snail mail) regarding information about the products purchased to customers unless customers specifically request that they want to be excluded from these mailings. To request exclusion from these mailings, please email or write to SLSoftware with your request. 

5.2. SLSoftware is not responsible for the performance or policies of third parties (including but not limited to retailers, online ordering services, and internet service providers) regarding the transmission of private or confidential data. If you are concerned about the privacy of your information with regard to a third party, please contact that party for information regarding their privacy policies. 

6. Errors and Omissions Policies 

6.1. SLSoftware is not responsible for errors, typographical or otherwise, or omissions in the contents of the Software or any associated documentation or web pages associated with Software or SLSoftware. For clarification on any item or policy, please contact SLSoftware. 

6.2. SLSoftware reserves the right to correct any and all errors and omissions in the contents of the Software or any associated documentation or web pages associated with Software or SLSoftware.
